User/customer will immediately bound for the acceptance of the below mentioned terms & condition by using this site or making any deal with Prismic reflections.

    By using the Site to search for or link to another site, you agree and understand that such use is at your own risk. There is no warranty that this site will be free of any computer viruses.

    Prismic Reflections do not provide Domain Name, Web Hosting, Email, certificates and other services. We may suggest & point customer to 3rd party service providers based on your customer’s demand. However the decision making would be at customer’s own risk.

    The articles and/or information provided on our blog are a result of our experience combined with inspirations from some genuine resources available on the World Wide Web.

    The material made available in the ‘Download’ section of our blog is produced and owned solely by us. Blog visitors may use it free of cost for their personal and/or commercial projects to save their time and efforts, provided they agree to follow the code of conduct mentioned in this agreement when using it.

3. Limitation of Liability:

In no event shall Prismic Reflections or Company Member or Contractors or Third Party Beneficiaries be liable to the customer for loss or damage occurred due to:-

Delivery (via email, server upload or through any digital/analog media) of product and/or service.

Delivery (via email, server upload or through any digital/analog media) of product and/ or service NOT in time.

Delivery (via email, server upload or through any digital/analog media) of wrong or corrupt files.

Delivery (via email, server upload or through any digital/analog media) of files that contain (unintentionally/by accident) viruses, malicious codes or anything that harms to user’s computer

Failure in maintaining project files, source files, images or any other data related to your project, after completion of the project

Failure in making any changes in the design, other than those informed by the client to Prismic Reflections via written communication.

Failure in receiving and checking the deliverables after completion of the project.

Email Account, FTP, Control Panel details and other relevant information.

Prismic Reflections will not be responsible to refund the paid amount or not liable for any claims in any forms during any possible phase of service for any temporary or permanent interruptions due to situations/instances which are out of Company's (Prismic Reflection's) control,for e.g. Government body acts, war, insurrection, sabotage, armed conflict, embargo, fire, flood, strike, delay in transportation, medical emergencies, telecommunications or third-party services,DdoS attacks,hacks, virus infections,third party software failures including but not limited to ecommerce softwares, payment gateways, chat softwares, statistics or any other free or paid scripts etc.


4. Limitation of Service

AUTHORIZATION OF SERVICES

When Client is engaging Prismic Reflections (Vendor), to perform web design, graphic design, web development, testing, and deployment and project management services for the Client, a written (Email / fax) authorization from the Client to the Vendor is required to commence the project or parts of it, for a Vendor to begin work. Each project would get started only after receiving a written purchase order/contract by mail from the client.


COMPENSATION

In consideration for the services to be performed by Vendor, Client agrees to pay the Vendor based on the quoted lump sum rate. Vendor acknowledges that no other compensation is payable by Client, and that all of Vendor's compensation will depend on actual additional hours worked by Vendor and approved by the Client.


EXPENSES

Client shall reimburse the Vendor for approved expenses incurred for the completion of the project work. Typical reimbursable expenses include: Purchase of any required special fonts, stock photography, design proofing print-outs, travel reimbursement and any long distance charges incurred related to the project, as needed for successful completion of the project, upon client approval. Vendor shall be responsible for all other expenses incurred while performing services under this Agreement. This includes any salary, expenses and other compensation paid to employees or contract personnel the Vendor hires to complete the work under this Agreement.


DESIGN CHANGES

Once the Client and the Vendor have agreed upon the scope, design requirements and specifications, the Vendor shall come up with the proposed design. Two iterations of client feedback on the proposed design, within the original scope of the project, will be allowed for lump sum projects as part of the normal design process and client feedback loop. Any significant deviations of scope from the original design requirement and specifications must be conveyed to the Vendor in written form and shall incur additional fees to be agreed upon by the Client and the Vendor. OWNERSHIP OF ARTWORK

Until full payment has been made, Prismic Reflections retains ownership of all original artwork or parts contained therein, whether preliminary or final. Upon full payment, the client shall obtain ownership of the final artwork to use and distribute as they see fit. Prismic Reflections retains the right to use the completed project and any preliminary designs for the purpose of design competitions, future publications on design, educational purposes, marketing materials, and portfolio. Where applicable the client will be given any necessary credit for usage of the project elements. Once the site is live, Prismic Reflections retains the right to use “Site Designed & Developed by Prismic Reflections” caption on Client’s website as per mutually agreed and generally acceptable standard guidelines.


PRODUCTION SCHEDULE/DELIVERY OF PROJECT

Vendor and the Client must work together to complete the project in a timely manner. Much of this depends on receiving the appropriate images and text, as applicable, from the client as well as timely client feedback. We agree to work expeditiously to complete the project in a professional and timely fashion. The client will assume any shipping or insurance costs related to the project. Any alteration or deviation from the original specifications involving extra costs will be executed only upon approval of the client.


THIRD PARTY SHIPPING

In the event any material necessary for the production of the project must be shipped to a third party for additional processing, typesetting, photographic work, color separation, press work, or binding, the Vendor will incur no liability for losses incurred in transit, or due to delay of the shipper of the third party.


CLAIMS PERIOD

Claims for defects, damages, and/or shortages must be made by the client in writing within a period of fifteen (15) days after delivery of all or any part of the order. Failure to make such claim within the stated period shall constitute irrevocable acceptance and an admission that they fully comply with terms, conditions, and specifications.


PROOFING OF FINAL PROJECT

The Vendor shall make every effort to ensure the final product is free of any grammatical and spelling errors, before giving the final product to the client. It is agreed that it is the client’s responsibility to ensure that there are no spelling or grammatical errors contained in the final product. It is agreed that the Vendor is not responsible or held liable for any errors contained in the final product after the final product has been committed to print or posted in view of the public.


CANCELLATION

In the event of cancellation of the project, all the original artworks and disks along with the ownership of their copyrights shall be returned by client and shall be retained by Prismic Reflections. A fee for the work completed, based on the contract price and expenses already incurred, shall be paid by the client.


INDEPENDENT CONTRACTOR STATUS

Vendor is an independent contractor, not Client's employee. Vendor has the right to perform services for others during the term of this Agreement. Subject to any restrictions contained in this Agreement, Vendor has the right to perform the services required by this Agreement at any location or time.


CONFIDENTIALITY

All correspondence and documents exchanged will be treated as confidential between the client and the Vendor, unless both parties involved have granted consent.


TERMINATING THE AGREEMENT

Client or Vendor may terminate this Agreement for any reason, effective immediately after completion of two weeks to the prior written notice either sent by the Client or the Vendor requesting the termination of agreement.


5. CODE OF CONDUCT

Under this code you will not:-

Use the Site/blog in a manner that could disable, overburden, or impair the site or interfere with any other party’s use and enjoyment of the site.

Seek to obtain access to any materials or information we have intentionally left unavailable to you through the Site either through “hacking” or through other means.

Seek to obtain access to any materials or information through “hacking” or through other means we have not intentionally made available to you through the Site.

Submit material that is intentionally false, defamatory, unlawfully threatening, illegal or unlawfully harassing,

Transmit materials through the site that, you know or should know, containing viruses, Trojan horses, worms, time bombs, cancelbots or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept, or expropriate any system, data or personal information.

Prismic Reflections reserves its right to revise, change and modify these terms anytime without any prior notice and continue in full force and effect.
